END-USER LICENSE AGREEMENT FOR MIRROCLE SOFTWARE & MATERIALS

This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and Mirrorcle Technologies, Inc. (“MTI”) concerning all MTI software products and digital materials provided to you at any time, including but not limited to the Mirrorcle Software Suite (all past, present, and future versions and updates), standalone MATLAB/Python/C++ scripts, demo/evaluation executables, proprietary libraries (.dll, .mex, .p, .pyd), and accompanying documentation (collectively, the “SOFTWARE”).

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. THIS AGREEMENT APPLIES RETROACTIVELY TO ALL PREVIOUS VERSIONS, INSTALLATIONS, OR COPIES OF THE SOFTWARE IN YOUR POSSESSION. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY REMOVE ALL SOFTWARE FILES FROM YOUR COMPUTERS. 

1. GRANT OF LICENSE
MTI grants you a non-exclusive, non-transferable license to use the SOFTWARE, including any maintenance updates or bug fixes provided by MTI at its discretion, under the following conditions:

  • Development Site Restriction: The license to use the SDK and scripts for development is restricted to one (1) designated team or department at a single physical location (“Site”). You may make multiple installs for the internal use of this specific team at this Site only.
  • SDK and Source Code Use: You are permitted to use, modify, and incorporate the provided source code examples (including but not limited to MATLAB, C++, Python, and LabVIEW files) to develop your own original applications (“User Applications”).

Redistribution of User Applications: You are granted a royalty-free, perpetual right to distribute User Applications developed with this SDK to any third party or other company locations. This includes the right to bundle required underlying MTI libraries (e.g., .DLL or .MEX files) only as an integrated component of your User Application.

2. RESTRICTIONS

  • Access Credentials: You may not share, publish, or otherwise distribute your registration codes, license keys, or private download links with any person or company outside of the licensed team at the authorized Site.
  • SDK Redistribution: You may not rent, lease, sell, or redistribute the SOFTWARE or SDK scripts as a standalone product or as part of a competing development tool.
  • Proprietary Libraries: The underlying libraries provided with the SOFTWARE are not open source. You may not decompile, disassemble, or otherwise attempt to derive the source code of any compiled or protected components.
  • License Transfer: You may not transfer your development license to another team, business unit, or physical location without prior written permission from MTI.

3. COPYRIGHT AND OWNERSHIP
All title and copyrights to the SOFTWARE (including but not limited to the underlying libraries and original scripts) are owned by MTI. The SOFTWARE is licensed, not sold. All rights not expressly granted are reserved by MTI.

4. LIMITATION OF LIABILITY & HIGH-RISK USE

  • “AS IS” Warranty: THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
  • High-Risk Activities: The SOFTWARE is not fault-tolerant and is not designed or intended for use in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation, or life support machines.
  • Damages Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MTI SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING OUT OF THE USE OF THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. TERMINATION
Without prejudice to any other rights, MTI may terminate this EULA if you fail to comply with its terms. In such event, you must destroy all copies of the SOFTWARE and all of its component parts.

6. GOVERNING LAW, EXPORT CONTROL, AND ENTIRE AGREEMENT

  • Governing Law & Venue: This agreement is governed by the laws of the State of California, USA. Any disputes shall be resolved exclusively in the state or federal courts located in Contra Costa County, California.
  • Export Compliance: You agree to comply with all U.S. export laws and regulations. You shall not export or re-export the SOFTWARE to any country, person, or entity subject to U.S. export restrictions.
  • Entire Agreement: This EULA constitutes the entire agreement between the Parties and supersedes all prior versions of the EULA, whether written or oral, including those bundled with previous installations of the SOFTWARE. Continued use of the SOFTWARE following the “Last Updated” date constitutes acceptance of these revised terms for all existing and future copies.
